经济转轨的核心问题之一是重建企业制度，能否建立完善的公司治理制度将事关转轨的成败。在经济全球化的背景下，重建企业制度不再是一个简单的内部问题，它还必须有效把握世界各国公司治理制度变化的总体趋势对本国的影响与意义。本文从比较公司治理的角度，分析了有关全球化对各国公司治理制度演进的影响的两种不同观点：融合论与不相容论，在次基础上，探讨了这些观点对转轨国家重建企业制度的启示意义。

Focusing on the evolvement of Korean economic governance systems, this paper uses the theory of comparative institutional analysis and path dependence to explains how the relation-based governance has given rise to the early success and recent failure of Korean economy, and how the reforms under the Kim Dae Jung government are changing the economic governance systems.
